Conscious CRM
Terms of Service
Last updated:
These terms set out the rules for using Conscious CRM. They are written to be read: please do, because they form a binding agreement.
This agreement
These terms are an agreement between you and Conscious CRM ("we", "us") for your use of the Conscious CRM website and application (the "Service"). If you use the Service for a business or other organization, you accept these terms for it and confirm that you may do so; "you" then includes that organization. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal information. If you have a separate written agreement with us for the Service, it prevails where it conflicts with these terms.
The Service
Conscious CRM is software for managing customer relationships: contacts and companies, pipelines and opportunities, notes and tasks, an audit log, an API, and the features we add over time. Features we describe as in development or not yet available are not part of the Service until we make them available.
Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- Accounts are opened by an administrator of your organization or by us. Keep the information on your account accurate and current.
- Keep your password and sign-in links private. You are responsible for what happens under your account, and your organization is responsible for the users its administrators add.
- Tell us straight away at privacy@consciouscrm.com if you think someone has used your account without permission.
Your data
You own the data you put into the Service ("Your Data"), including the contacts and other records you store. You allow us to host, copy, process, transmit and display Your Data only as needed to provide, secure and support the Service for you, and as our Privacy Policy describes. We do not sell Your Data.
You are responsible for Your Data, and for having the rights, notices and consents the law requires to collect it, keep it in the Service and contact the people in it, including honoring their requests to opt out or not to be contacted.
You can export your contacts at any time. Where data protection law treats us as your processor or service provider, we process the personal information in Your Data only on your instructions. If your organization needs a data processing agreement, ask us.
Connected platforms
You can connect other platforms to the Service, such as Facebook, Instagram and WhatsApp. By connecting one, you authorize us to access and act on that account for you, within the permissions you grant. You must follow the terms and policies of each platform you connect, including Meta's terms and the WhatsApp Business policies.
Those platforms can change or end what they allow at any time. We are not responsible for them, for what they do with information you send them, or for the content they provide. You can disconnect a platform at any time.
Acceptable use
You may not use the Service to:
- break the law, or infringe anyone's rights, including their privacy, publicity and intellectual property rights;
- send spam or any message the law does not allow, including marketing sent without the consent the law requires, or ignore requests to opt out;
- store or send content that is unlawful, deceptive, harassing or hateful, or that exploits or harms children;
- upload malware; probe, scan or test the Service's security; or get around its access controls or usage limits;
- access, or try to access, another account's data;
- disrupt or overload the Service, or collect data from it other than through our API;
- resell the Service or provide it to others without our written permission, or copy it to build a competing product;
- reverse engineer the Service, except where the law allows it;
- keep payment card numbers, government identification numbers, health information or passwords for other services in contact records, unless we agree in writing.
We may remove content, or suspend access, that breaks these rules.
API and access tokens
We provide an API and access tokens to use it. Keep tokens secret: anyone who holds one can act within its permissions. We may set and change rate limits, and revoke tokens that are misused or exposed.
Fees
Any fees for the Service, and how they are paid, are set out in a separate order or agreement with you. Where none applies, these terms do not oblige you to pay anything.
Availability and changes
We work to keep the Service available and Your Data safe, but we do not promise that the Service will be uninterrupted or error free. Maintenance, failures of the services we rely on, and events outside our control can interrupt it.
We may add, change or remove features. If a change significantly reduces something you rely on, we will try to tell you in advance.
Suspension and termination
You may stop using the Service at any time, and your administrator can ask us to close your account. We may suspend or end your access if you break these terms, if your use puts the Service, other customers or us at risk, or if the law requires it. Where it is reasonable, we will tell you first and give you a chance to put things right.
When an account closes, you have 30 days to export Your Data, unless the law prevents it. After that we delete it as our Privacy Policy describes. The sections on Your Data, disclaimers, limitation of liability, indemnity and governing law continue to apply after the agreement ends.
Our intellectual property
The Service, including its software, design and content other than Your Data, belongs to us and our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is open, and we keep all other rights. If you send us feedback, we may use it without any obligation to you.
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. You are responsible for deciding whether the Service suits your needs and for keeping your own copies of important data.
Limitation of liability
To the fullest extent the law allows:
- neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if it was told they were possible; and
- our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and 100 US dollars.
These limits do not apply where the law does not allow liability to be limited, or to your obligations under Indemnity.
Indemnity
You will defend us against claims by third parties, and pay the resulting losses and reasonable costs, to the extent they arise from Your Data, your use of connected platforms, or your breach of these terms or of the law.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, without regard to its rules on conflicts of law. Any dispute about these terms or the Service will be decided only by the state and federal courts located in the State of Wyoming, and both parties accept the jurisdiction of those courts. Nothing in these terms stops either party from seeking urgent relief to protect its rights, or removes rights that consumer protection law gives you.
Changes to these terms
We may update these terms. We will post the new version here with a new date, and tell account holders about significant changes by email or in the Service before they take effect. If you keep using the Service after a change takes effect, the new terms apply; if you do not agree with them, stop using the Service.
General
These terms, our Privacy Policy and any order or agreement with you are the whole agreement about the Service. If part of them cannot be enforced, the rest still applies. If we do not enforce a part straight away, we have not given up the right to. You may not transfer this agreement without our consent; we may transfer it as part of a merger, acquisition or sale of assets. Neither party is responsible for delays caused by events beyond its reasonable control.
